1. Agreement and eligibility
These Terms of Service are an agreement between you and Webkonsulenterne A/S ("we", "our", "us"). By creating an account, installing an integration, starting a subscription or otherwise using Cookiely (the "Service"), you agree to these terms and our Privacy Policy. If you use the Service for an organisation, you confirm that you have authority to bind it.
The Service is offered to businesses, public bodies and professionals, not for personal or household use. You must be at least 18 and legally able to enter into this agreement.
2. What the Service provides
Cookiely provides cookie-consent management software and cloud services, including website integrations, a compliance dashboard, automated cookie scanning, consent evidence storage, Data Subject Access Request (DSAR) workflows, Shopify features and related support. Available features, site limits and usage allowances depend on the plan shown at checkout or in your account.
The Service helps you implement and document privacy choices; it is not legal advice and does not guarantee compliance in every jurisdiction. You remain responsible for your notices, legal bases, configuration and use of the Service.
3. Accounts, licences and sites
- You must provide accurate account and billing information and keep it current.
- You are responsible for the confidentiality of credentials, API keys and licence keys, and for activity under your account.
- A plan may be used only for the number of production or development sites stated for that plan. Site and session limits may be enforced technically.
- Contact [email protected] promptly if you suspect unauthorised access.
Subject to these terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable and revocable right to access and use the hosted Service and its integrations for your own organisation during the subscription term. This does not transfer our trademarks, hosted software or other intellectual property.
4. Acceptable use
You may not misuse the Service. In particular, you may not:
- use it in violation of applicable law or another person's rights;
- submit malware, spam, unlawful content or data you are not authorised to process;
- probe, bypass or disrupt security, authentication, plan limits or infrastructure;
- reverse engineer the hosted Service except where applicable law expressly permits it; or
- resell, sublicense or provide licence keys to third parties without our written permission.
We may suspend access for a serious or persistent breach, a security risk, unlawful use or overdue payment. Where practicable, we will notify you and give you a reasonable opportunity to resolve the issue.
5. Subscriptions, renewal, cancellation and refunds
- Subscriptions renew automatically each billing period, monthly or yearly as shown at checkout, until cancelled.
- You can cancel from your account. Cancellation stops the next renewal, and access continues until the end of the paid billing period unless the checkout or platform terms state otherwise.
- Plan changes may take effect immediately and any price difference may be prorated by the payment provider.
- Payment details go directly to the payment provider and do not pass through our systems.
- Prices exclude VAT or sales tax unless the checkout states otherwise. Applicable tax is added or handled under the relevant reverse-charge rules.
Payments are non-refundable except where mandatory law requires a refund or we expressly agree otherwise. We may change prices for future billing periods with at least 30 days' notice. A change never applies to a period already paid for; you may cancel before the new price takes effect.
6. Data processing and customer responsibilities
Our Privacy Policy explains the personal data we control and forms part of these terms. For consent evidence and DSAR data relating to your visitors, you are the Data Controller and we act as your Data Processor under Article 28 GDPR. The Data Processing Agreement available in your account provides the applicable processor terms.
You are responsible for having a lawful basis and appropriate notices for data submitted through the Service, configuring categories and scripts accurately, honouring visitors' choices, and responding to rights requests. You must not submit special-category or other highly sensitive data unless the Service expressly supports it and we have agreed appropriate safeguards in writing.
7. Support, changes and availability
We provide support by email on Danish business days with reasonable effort. Unless a separate written service-level agreement says otherwise, response times and uninterrupted availability are not guaranteed. Planned maintenance and circumstances outside our reasonable control may affect access.
We may improve, replace or discontinue features as the Service develops. We will give reasonable notice before a material reduction to paid functionality where practicable. We may terminate the Service or a subscription for convenience with 90 days' notice and refund prepaid fees for the unused period.
8. Warranties and liability
We provide the Service with reasonable skill and care. Beyond what these terms state and what applicable law requires, the Service is provided “as is” and “as available”. We do not warrant that it will be uninterrupted, error-free or sufficient by itself to meet every legal requirement.
To the extent permitted by law, neither party is liable for indirect or consequential loss, including loss of profit, revenue, data or goodwill. Our total aggregate liability arising from the Service is limited to the amounts you paid us in the 12 months before the event giving rise to the claim. Nothing limits liability that cannot lawfully be limited.
9. Termination and account data
You may terminate by cancelling your subscription. We may terminate for a material breach that remains unresolved after notice, immediately for unlawful or dangerous use, or as described in section 7. When the paid term ends, hosted features, updates and support may stop and you may lose dashboard access.
We delete or retain account, consent, Shopify and billing data according to the retention periods in our Privacy Policy and our legal obligations. Provisions that by their nature survive termination, including payment, intellectual property, liability and governing law, remain in effect.
10. Changes to these terms
We may update these terms as the Service or law changes. Material changes will be announced to account holders at least 30 days before they take effect. If you do not accept a material change, you may cancel before its effective date. Continuing to use or renew the Service after that date constitutes acceptance.
These terms and documents expressly incorporated into them are the entire agreement about the Service. If one provision is held invalid, the rest remains in force. We may assign the agreement to an affiliate or successor to our business.
11. Governing law
These terms are governed by Danish law, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods. Disputes are subject to the exclusive jurisdiction of the Danish courts, with venue at the court for our registered office. Mandatory rights that cannot be waived remain unaffected.
